Form 3 – Initial Statement of Beneficial Ownership of Securities is a form that must be completed by company insiders, such as directors, officers, and beneficial owners of more than 10% of a company’s stock.   3. Number of securities beneficially owned
  4. Date of acquisition
  5. Nature of the relationship between the insider and the issuer
  6. Agreement or arrangement regarding the securities
  7. Source of funds used to purchase the securities

Form 3 is important for company insiders, as it helps them to comply with the SEC’s filing and disclosure requirements. It also helps investors and regulators to better understand the company’s ownership structure and potential conflicts of interest that may exist.
