How to Form an LLC in Wyoming: A Step-by-Step Guide

Wyoming is one of the most business-friendly states in the U.S., offering low fees, strong privacy protections, and no state income tax. If you’re considering forming a Limited Liability Company (LLC) in Wyoming, this guide will walk you through the process step by step.


Step 1: Choose a Name for Your LLC

Your LLC name must meet Wyoming’s naming requirements:

  • Be Unique: The name cannot already be in use by another registered business in Wyoming.
  • Include a Designator: It must include “Limited Liability Company,” “LLC,” or “L.L.C.”

Check name availability using the Wyoming Secretary of State Business Center.

Tip: If you’re not ready to file yet, you can reserve your desired name for up to 120 days by submitting a Name Reservation form and paying a $50 fee.


Step 2: Appoint a Registered Agent

Although not required by Wyoming law, drafting an Operating Agreement is highly recommended. This document outlines:

  • Ownership percentages.

  • Voting and decision-making processes.
  • Procedures for adding or removing members.

Step 5: Obtain an EIN (Employer Identification Number)
