How to Form an LLC in Texas: A Step-by-Step Guide

Forming a Limited Liability Company (LLC) in Texas is a great way to protect your personal assets while taking advantage of the state’s business-friendly environment. This guide walks you through the steps to form your LLC in the Lone Star State.


Step 1: Choose a Name for Your LLC

Your LLC’s name must comply with Texas’ naming rules:

  • Be Unique: The name must not already be in use by another registered business in Texas.
  • Include a Designator: It must contain “Limited Liability Company,” “LLC,” or “L.L.C.”

Tip: If you’re not ready to file yet, you can reserve your desired name for up to 120 days by filing Form 501 (Application for Reservation of Name) and paying a $40 fee.

  • Be a Texas resident or a business entity authorized to operate in Texas.
