How to Form an LLC in Georgia: A Step-by-Step Guide

Forming a Limited Liability Company (LLC) in Georgia is a straightforward process that offers personal liability protection and tax flexibility. Here’s a detailed guide to help you establish your LLC in the Peach State.


Step 1: Choose a Name for Your LLC

Your LLC name must meet Georgia’s naming requirements:

  • Be Unique: The name must not already be in use by another business in Georgia.
  • Include a Designator: It must contain “Limited Liability Company,” “LLC,” or “L.L.C.”

Check name availability using the Georgia Secretary of State’s Business Search.

Tip: If you’re not ready to file yet, you can reserve your desired name for 30 days by filing a Name Reservation Request and paying a $25 fee.


Step 2: Appoint a Registered Agent

Every LLC in Georgia is required to appoint a registered agent to receive legal documents on behalf of the business. The registered agent must:

  • Be a Georgia resident or a business entity authorized to operate in the state.

Although not required by Georgia law, an Operating Agreement is highly recommended. This document outlines:
